Travel LYKKE Supplier Agreement
Between Travel LYKKE Private Limited, a company incorporated under the laws of India (“Travel LYKKE”, “we”, “our”, “us”) and the individual or entity registering as a supplier on the Platform (“Supplier”, “you”, “your”).
1. Purpose
Travel LYKKE operates an online marketplace that allows Suppliers to market and sell tours, activities, experiences, transfers, attractions and related travel services (“Products”) to customers.
Supplier appoints Travel LYKKE as a non-exclusive marketing, booking facilitation and payment collection agent for Products listed on the Platform.
Nothing in this Agreement creates a partnership, joint venture, employment relationship or franchise relationship.
2. Supplier Responsibility
Supplier is solely responsible for:
- Operating and delivering Products.
- Safety of customers.
- Guides, vehicles, equipment and staff.
- Compliance with all applicable laws.
- Licenses, permits and approvals.
- Taxes applicable to Supplier’s business.
- Customer health and safety obligations.
Travel LYKKE is not the operator, provider or organizer of any Product.
3. Product Information Warranty
Supplier warrants that all information submitted to Travel LYKKE is:
- Accurate.
- Complete.
- Up-to-date.
- Not misleading.
This includes:
- Pricing
- Inclusions
- Exclusions
- Availability
- Duration
- Accessibility information
- Safety requirements
- Cancellation policies
Supplier is responsible for losses arising from inaccurate information.
4. Availability and Booking Acceptance
Supplier shall maintain accurate availability.
A booking confirmed through the Platform constitutes a binding obligation of Supplier.
Supplier shall honour all confirmed bookings except where:
- Force majeure applies.
- Customer breaches Product requirements.
- Travel LYKKE authorizes cancellation.
Overbooking caused by Supplier shall be Supplier’s responsibility.
Supplier shall reimburse all costs, refunds and customer compensation arising from Supplier-caused overbooking.
5. Payment Collection Agency
Supplier appoints Travel LYKKE as its limited payment collection agent.
Payment made by a customer to Travel LYKKE shall be deemed payment made to Supplier.
Travel LYKKE shall remit amounts due to Supplier according to the Commercial Terms Schedule.
Travel LYKKE may deduct:
- Platform fees.
- Chargebacks.
- Refunds.
- Customer compensation.
- Taxes required by law.
- Amounts owed by Supplier.
6. Cancellations and Refunds
Supplier agrees to honour its published cancellation policy.
Where a refund is required:
- Travel LYKKE may process the refund directly.
- Supplier authorizes deduction from future settlements.
If Supplier cancels a confirmed booking, Travel LYKKE may:
- Refund the customer.
- Relocate the customer.
- Recover all associated costs from Supplier.
7. Insurance
Supplier shall maintain throughout the Agreement:
- Public liability insurance.
- Employer liability insurance where required.
- Vehicle insurance where applicable.
- Any legally required insurance.
Supplier shall provide evidence of insurance upon request.
8. Safety Obligations
Supplier represents that Products are operated using reasonable industry safety standards.
Supplier shall immediately notify Travel LYKKE of:
- Accidents.
- Serious injuries.
- Deaths.
- Government investigations.
- Regulatory actions.
Travel LYKKE may suspend Products pending investigation.
9. Content Licence
Supplier grants Travel LYKKE a worldwide, royalty-free, non-exclusive licence to:
- Use
- Modify
- Translate
- Distribute
- Publish
- Market
Supplier content, including:
- Product descriptions
- Images
- Videos
- Logos
- Reviews
for the purpose of promoting Products and the Platform.
Supplier warrants ownership or authority to provide such content.
10. Reviews and Ratings
Travel LYKKE may publish customer reviews.
Travel LYKKE may remove reviews that violate Platform policies.
Supplier shall not manipulate, purchase or fabricate reviews.
11. Compliance With Laws
Supplier shall comply with:
- Tourism regulations
- Consumer protection laws
- Labour laws
- Tax laws
- Data protection laws
- Transportation regulations
- Health and safety regulations
Supplier bears sole responsibility for regulatory compliance.
12. Indemnity
Supplier shall defend, indemnify and hold harmless Travel LYKKE, its directors, officers, employees and affiliates from all claims, damages, liabilities, penalties, fines, losses, costs and expenses (including legal fees) arising from:
- Product delivery.
- Supplier negligence.
- Customer injury.
- Death.
- Property damage.
- Regulatory violations.
- Breach of this Agreement.
- Intellectual property infringement.
- Misrepresentation by Supplier.
13. Limitation of Liability
To the maximum extent permitted by law:
Travel LYKKE shall not be liable for:
- Lost profits.
- Loss of business.
- Indirect damages.
- Consequential damages.
- Service interruptions.
- Customer claims arising from Supplier operations.
Travel LYKKE’s aggregate liability under this Agreement shall not exceed fees retained by Travel LYKKE from Supplier during the preceding 30 days.
14. Suspension Rights
Travel LYKKE may immediately suspend Products or Supplier accounts where it reasonably believes:
- Safety risks exist.
- Fraud exists.
- Regulatory violations exist.
- Customer harm may occur.
- Supplier breaches this Agreement.
No compensation shall be payable during suspension.
15. Termination
Either party may terminate upon thirty (30) days written notice.
Travel LYKKE may terminate immediately for:
- Fraud.
- Illegal activity.
- Repeated customer complaints.
- Safety concerns.
- Material breach.
Termination shall not affect existing customer rights or accrued obligations.
16. Confidentiality
Both parties shall keep confidential information confidential for five years following termination.
17. Force Majeure
Neither party shall be liable for delays caused by events beyond reasonable control including:
- Natural disasters.
- War.
- Civil unrest.
- Government restrictions.
- Epidemics.
- Transportation shutdowns.
18. Dispute Resolution
This Agreement shall be governed by the laws of India.
Parties shall first attempt good-faith negotiation.
Any dispute not resolved within thirty days shall be submitted to arbitration in Pune, Maharashtra under the Arbitration and Conciliation Act, 1996.
Proceedings shall be conducted in English.
19. Survival
The following clauses survive termination:
- Payments
- Indemnity
- Confidentiality
- Liability limitations
- Dispute resolution
- Intellectual property rights
